PSAC Calgary Area Council By-Laws

By-Law 1- Name

The name of this Council shall be known as the Calgary Area Council.
 

By-Law 2 - Mandate and Objectives

Sub-Section (1)
The Calgary Area Council is established in accordance with Sub-Section (2) of Section 14 of the Constitution of the Public Service Alliance of Canada. The Council shall maintain liaison with the Alliance through the office of the Prairie Regional Executive Vice-President of the Alliance .

Sub-Section (2)
The Area Council shall be governed by the provisions set forth in Section 14 (Area Councils) of the Constitution of the Public Service Alliance of Canada.

Sub-Section (3)
The Area Council will serve as a liaison for Component Local, Branchs and Directly Chartered Locals in the Calgary Area for the exchange of information on matters of common interest.

Sub-Section (4)
The Council shall concern itself with “Area” issues and concerns which are of consequence to PSAC employees. It shall endeavor to promote better understanding and image of its members to the general public.

Sub-Section (5)
In cooperation with Component Locals, Branchs and Direct Charter Locals in the Calgary Area, the Calgary Area Council shall encourage the formation of occupational groups of employees.

Sub-Section (6)
In cooperation with the Public Service Alliance of Canada, the Components, Locals of Components, Branchs, and Directly Chartered Locals, the Council shall render assistance to occupational groups. The Council shall inform the Public Service Alliance of Canada of the occupational groups' views regarding collective bargaining and policies affecting such occupational groups.

By-Law 3 - Membership

Sub-Section (1)
Membership in the Area Council shall comprise two accredited delegates for the first 500 members and one additional delegate for each 500 members or portion thereof from each Component Local, Branch or Directly Chartered Local in the area, who shall be elected delegates from their Locals.

Sub-Section (2)
Component Locals, Branchs and Directly Chartered Locals shall have the right to elect delegate(s) to replace any delegate who is elected to office of the Council so that full representation of delegates from each Component Local, Branch and Directly Chartered Local may be maintained. The Area Council Secretary shall be notified in writing of all Delegates and their Alternates to ensure voting privileges.

Sub-Section (3)
Membership in the Area Council shall also be comprised of one delegate each from the PSAC Regional Women's Committee and any other duly constituted PSAC Committee within the Calgary jurisdiction.

By-Law 4 - Voting Status of Officers

The officers of the Calgary Area Council shall consist of a President, a Vice President, a Secretary and a Treasurer, all of whom shall be elected from the voting accredited delegates and officers in attendance at the Annual General Meeting. These officers shall comprise the Executive Committee.

By-Law 5 - Election of Officers

Sub-Section (1)
The election of officers shall be by secret ballot. A secret ballot shall be distributed to all members entitled to vote for each office. Each member in attendance, entitled to vote, shall write on the ballot the name of his or her choice for the office called.

Sub-Section (2)
Election to any office shall be declared only on receipt of a clear majority of the votes cast. In the event that more than two nominees stand for election for any office, and no clear majority exists, the election shall be by way of elimination.

Sub-Section (3)
Only accredited delegates and officers of the Area Council shall be eligible for any office.

Sub-Section (4)
Only accredited delegates and officers of the Area Council shall have the right to vote at any election of the Area Council.

Sub-Section (5)
Any officer or delegate absent for just cause may stand for election with the approval of the majority of the delegates attending a meeting, provided that the delegate submits a written statement indicating the reason for being absent and a willingness to stand for office.

Sub-Section (6)
Elected officers of the Council shall take office at the end of the meeting at which they were elected.

Sub-Section (7)
At least 30 days prior to an annual meeting, the Executive Committee may appoint a Nominations Committee of not less than three members which shall elect its own Chairperson.

Sub-Section (8)
Written nominations signed by the nominee and by any two officers or delegates of the Council shall be submitted to the Nominations Committee.

Sub-Section (9)
The duties of the Nominations Committee shall be:
a) to receive nominations for all executive offices;
b) to verify the eligibility of nominees;
c) to ascertain the willingness of nominees to accept and perform
    the duties of any office to which they may be elected;
d) to submit nominations received by the Nominations Committee
    Chairperson.

Sub-Section (10)
The Chairperson of the Nominations Committee shall conduct the election or may delegate this function with the approval of the members of the Nominations Committee.

Sub-Section (11)
The Chairperson of the Nominations Committee or his/her alternate shall report to the meeting, the nominations received for each election and shall call for further nominations from the floor.

Sub-Section (12)
There shall be separate elections for the offices of: President, Vice President, Secretary, and Treasurer.

Sub-Section (13)
As the election for each office is called, the nominee or his/her nominator or seconder may speak to the assembly on behalf of the nominee for a period of not more than three minutes.

Sub-Section (14)
The Oath of Office shall be administered to all elected officers immediately upon taking office.

By-Law 6 - Duties of Officers

Sub-Section (1) - President:


a) The President shall preside at meetings for the Council and its
     Executive Committee;
b) The President shall uphold the PSAC Constitution and
     Regulations and the Council By-Laws and Regulations;
c) The President shall oversee the work of all officers of the Council
     and shall be a member ex-officio of all committees of the Council;
d) The President shall report to the Executive Committee and
     meetings of the Council on his/her activities and perform other
     duties as pertains to that office;
e) The President shall be responsible for the efficient and proper
     conduct of the affairs of the Council;
f) The President shall vote only in the case of a tie vote on any
     matter;
g) The President shall with the assistance of the Executive Vice
     President, bring to the attention of the proper segment of the   
     PSAC, the policies and views adopted.

Sub-Section (2) - Vice President:


a) The Vice President shall assist the President in
     carrying out the duties of that office as requested;
b) The Vice President shall, in the absence of the
     President, assume the duties of the President.

c) The Vice-President shall be responsible for the education portfolio.

Sub-Section (3) - Secretary:


a) The Secretary Shall be responsible for notifying all Council
     officers and delegates of all meetings;
b) The Secretary shall be responsible for keeping accurate records
     of all meetings;
c) The Secretary shall forward to the Prairie Regional
    Executive Vice- President the minutes
     of all meetings not later than 30 days following the date
     on which the meeting was held;
d) The Secretary shall be responsible for receiving all
     correspondence and referring it to the appropriate executive
     officer or appropriate meeting for action;
e) The Secretary shall prepare correspondence as may be directed
     by the President, Executive Committee, or the Council;
f) The Secretary shall have available and read at regular meeting,
     copies of all correspondence of interest received or dispatched
     since the previous general meeting for the perusal by members.

Sub-Section (4) - Treasurer:


a) The Treasurer shall receive all monies and ensure that they are
     properly recorded and deposited in a financial institution as
     directed by the Council to the credit of the Calgary Area
     Council;
b) The Treasurer shall be one of the designated signing officers;
c) The Treasurer shall present a written statement to the Executive
     Committee and to the regular Area Council meeting detailing the
     receipts and expenditures for the previous period;
d) The Treasurer shall submit a detailed and audited financial
     statement at the Annual General Meeting of the Area Council;
e) The Treasurer shall expend funds only as directed by the Council.

By-Law 7 - Executive Committee

Sub-Section (1)
The Executive Committee shall be composed of the elected officers provided for in By-Law 4.

Sub-Section (2)
The Executive Committee shall meet at least once prior to the Area Council meeting and shall administer the affairs of the Council between meetings of the Council.

Sub-Section (3)
Special meetings of the Executive Committee may be called by the President, or the Prairie Regional Executive Vice President, or on written request to the President by members of the Executive Committee.

Sub-Section (4)
If a member of the Executive Committee is absent for more than three consecutive meetings for other than valid reasons, he/she shall automatically be relieved of his/her duties.

Sub-Section (5)
When a vacancy on the Executive Committee occurs, a notice to fill such vacancy shall be given at the next regular meeting of the Council, and an election will be held at the following regular Council meeting.

Sub-Section (6)
A quorum of the Executive Committee shall be the majority of the elected officers present at a duly called executive meeting.

Sub-Section (7)
The activities of the Executive Committee shall be reported at each regular Council meeting.

Sub-Section (8)
On vacating their respective positions, all officers of the Council shall return all funds, documents, or other properties of the Council to the Calgary Area Council or the PSAC Regional Office.
 

By-Law 8 - Council

The Council shall be the supreme governing authority on activities of the Council within the Public Service Alliance of Canada Constitution, Regulations and these By-Laws.

By-Law 9 - Occupational Groups

Occupational groups formed under the auspices of the Area Council shall conduct their affairs in accordance with regulations appended to these By-Laws, as established by the Executive Committee and approved by Council.

By-Law 10 - Meetings

Sub-Section (1)
The Area Council shall convene regular Council meetings on the second Monday of the following months: February, April, June and November.

Sub-Section (2)
The Annual General Meeting shall be held in the month of February.

Sub-Section (3)
Special meetings of the Calgary Area Council shall be held at the call of the President, or the Prairie Regional Executive Vice-President, or on the request in writing by three delegates from separate Component Locals or Branchs to the Council President or the Prairie Regional Executive Vice President.

Sub-Section (4)
For the introduction of any additional business at a special meeting other than that for which the meeting was called, a two-thirds (2/3) majority vote shall be required.

By-Law 11 - Finances

Sub-Section (1)
The expenditure of funds shall be vested in the Council.

Sub-Section (2)
All expenditures of the Council shall be approved by a majority vote of the accredited delegates of the Council.

Sub-Section (3)
The Area Council may delegate to the Executive Committee, authority to expend funds up to the amount shown in the annual budget subject to the limitations of Sub-Section (4).

Sub-Section (4)
No individual expenditure, unless otherwise specifically authorized by the Council, shall exceed $150.00.

Sub-Section (5)

The fiscal year of the Calgary Area Council shall be from January 1 to December 31.

Sub-Section (6)
The annual proposed budget shall be presented at the first monthly meeting following the Annual Meeting of the Council.

Sub-Section (7)
A supplementary budget may be submitted by the Executive Committee should it be necessary during the year.

Sub-Section (8)
Funds of the Area Council shall be held, except for a Petty Cash account in a financial institution or in short term government bonds in the name of the Calgary Area Council.

Sub-Section (9)
The following officers are the signing authorities for the Calgary Area Council: President, Vice President, Secretary and Treasurer.

Sub-Section (10)
All cheques shall be signed by the Treasurer and in his/her absence, the President, and one other of the authorized officers who are empowered to sign the bank's forms for purchase, safe-keeping, and disposal of bonds, when authorized by the Council.

By-Law 12 - Auditors

Sub-Section (1)
A committee of two shall be elected by the Council at a regular Council meeting two months prior to the Annual Meeting to perform the audit.

Sub-Section (2)
An audit of the accounts shall be made annually and presented to the Executive Committee and the Area Council.

Sub-Section (3)
The report of auditors shall be presented in writing to the Annual Meeting of the Council.

Sub-Section (4)
Reports of the Auditors shall be signed by all members of the Audit Committee.

By-Law 13 - Amendment of By-Laws

Sub-Section (1)
By-Laws of the Council may be amended by a two-thirds (2/3) majority of those accredited voting delegates and officers in attendance at a general meeting provided that one month's written notice has been given, except changes as may be necessary by reason of amendment of the PSAC Constitution by Convention.

Sub-Section (2)
Proposed amendments must be submitted in writing to the Council.

Sub-Section (3)
Notwithstanding Sub-Section (1), in the event that the PSAC Constitution or policies are amended (that relate to the Area Councils), the Calgary Area Council shall amend the By-Laws accordingly. The amended By-Laws shall be presented for ratification at the next regular meeting of the Council.

By-Law 14 - Discipline

The Council shall have the authority, by a two thirds (2/3) majority vote at a regular meeting to suspend or expel from the Council any officer for contravening a provision of the PSAC Constitution of the By-Laws of the Council for cause.
